BY-LAWS
ELEANOR AND FRANKLIN ROOSEVELT DEMOCRATIC CLUB
ARTICLE 1—MEETINGS
Section 1. The Eleanor and Franklin Roosevelt Democratic Club, hereinafter referred to as the Club, shall meet regularly on the third Friday of each month, except during the months of June, July and August.
Section 2. The Annual Meeting of the Club will be held on the third Friday of November and will include the election of officers for the coming year.
Section 3. Special meetings of the Club may be called at any time by the President. At such a meeting, no business shall be transacted except as shall have been specified by the call to the meeting.
Section 4. A quorum for any regular or special meeting shall consist of eleven (11) members in good standing or 5% of the members in good standing, whichever is greater.
ARTICLE 2—ORDER OF BUSINESS
The order of business for regular business meetings shall be as follows:
Call to order
Reading of the Minutes
Treasurer’s Report
Reports of other Officers, including the President, as needed
Reports of Standing Committees
Reports of active Special Committees
Election of Officers (November)
Unfinished Business
New Business
Announcements, including Calendar
Adjournment
ARTICLE 3—ELECTIONS
Section 1. All elected officers shall be elected by a majority vote of members in good standing, present and voting.
Section 2. Nominations for all elected officers shall be made by a Nominating Committee appointed by the President. This report shall be presented at the regular meeting preceding the Annual Meeting. Nominations from the floor may be made up to the time of the election.
Section 3. Voting, in any contested election, shall be by secret ballot.
ARTICLE 4—DUTIES OF OFFICERS
Section 1. The President shall preside at all meetings of the Club and perform all such duties as the nature of the office may require, including general supervision of the expenditures of the Club.
Section 2. The lowest numbered Vice-President who is present shall, in the absence of the President, perform all duties of the President.
Section3. The Club’s Fiscal Year will run from January 1 through December 31 of each calendar year. The Treasurer shall:
- Submit an Annual Budget at the October meeting each year.
- Submit a financial report at each regular meeting.
- Collect annual dues and all other monies and deposit same in an authorized bank account.
- Keep [vouchers] records of all disbursements.
- Keep a record of all monies received.
- Pay all the Club’s obligations by check.
- Issue membership cards upon receipt of dues.
Section 4. The Corresponding Secretary shall conduct the correspondence of the Club and notify the members of the date, time and place of the membership meetings.
Section 5. The Recording Secretary shall take Minutes of all meetings of the Club and perform other secretarial duties assigned to that office.
Section 6. The Sergeants-at-Arms shall be responsible for maintaining order at meetings, care and placement of the flags and running of the 50/50 raffle.
Section 7. Annually, after the close of the Fiscal Year, a committee consisting of the President, or the President’s designee, and two additional members of the Club shall audit the financial books. The books may also be audited at any time upon a vote of a majority of the members in good standing, present and voting.
Section 8. It shall be the duty of the Board of Directors to formulate the general policies of the Club and to perform such other duties as the Constitution, the By-Laws or the Club’s membership may provide.
ARTICLE 5—MEMBERSHIP AND DUES
Section 1. Application for membership in the Club shall be accompanied by the payment of dues for the current Fiscal Year.
Section 2. With due proper notice, annual dues shall be set by a majority of the members in good standing, present and voting.
ARTICLE 6—POLITICAL ENDORSEMENTS
Section 1. The Eleanor and Franklin Roosevelt Democratic Club shall not endorse any candidate or give financial support to any candidate during Primary Elections.
Section 2. In General Elections, the Club may endorse the winners of the Democratic primary, unless two-thirds of the members in good standing vote against endorsing a particular candidate. Financial support may be given to endorsed candidates only following a majority vote of the members present in good standing, prior written notice having been sent to all members.
ARTICLE 7—AMENDMENTS
These By-Laws may be amended at any regular meeting of the Club by a majority vote of members present and in good standing provided any such amendments shall have been presented at a prior meeting.
ARTICLE 8—RULES
Roberts Rules of Order, Revised shall govern the proceedings of the Club, except when such rules are in conflict or inconsistent with the Constitution and By-Laws of the Club.
